YOU MAY USE THE SERVICES ONLY ON THE CONDITION THAT YOU REVIEW AND ACCEPT ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN, INCLUDING PRIVACY POLICY. These Terms of Service Agreement is a legal agreement between You, either an individual or an entity (the “You” or “User”), and Bookmate Limited, Office 1, Upper Floor, 5 Old Dublin Road, Stillorgan, Co. Dublin, Dublin, Dublin 18, Ireland A94 K1H5, Company No. 596747 and its affiliates (the “Bookmate”), regarding the Services, as defined below. Bookmate holds the Website www.bookmate.com including all Bookmate’s domains included within this Internet website (“Website”), and all information, graphics, documents, text, products, services and all other elements of the Website and all products offered on this Website and Services operated through the Website and related plug-ins, add-ons and applications (e.g. Bookmate Mobile Application) (the “Services”), available for You subject to the terms and conditions set forth in this Agreement, including Privacy Policy, being an integral part thereof (the “Agreement” or “Terms of Service”). By using the Services, You confirm that you are above the age of 18, agree to be bound by the following Terms of Service and all terms and conditions contained and/or referenced herein or any additional terms and conditions set forth on the Website, and you acknowledge that we will use your personal information in accordance with the Privacy Policy, as may be required to provide the Services under the Agreement. If You do NOT agree to all these Terms of Service, You should NOT use the Services. If You do NOT agree to any additional specific terms which apply to particular Bookmate’s Content (as defined below) or to particular transactions concluded through the Website, then You should NOT use the part of the Website and/or Services which contains such Bookmate’s Content or through which such transactions may be concluded and You should NOT use such Bookmate’s Content or conclude such transactions. Also, when You use any current or future Bookmate’s Services or visit Bookmate’s Websites or obtain any products or services, whether free of charge or for payment, of Bookmate or any business affiliated with Bookmate, whether or not included in the Website, You will be subject to the guidelines and conditions applicable to such services or business.

If you are using Bookmate you agree to accept this Agreement, you acknowledge the content of the Privacy Policy, and know that we use your personal data as required to provide the Services under the Agreement.

These Terms of Service, including Privacy Policy, may be amended by Bookmate at any time. Such amended Terms of Service shall be effective according with the notice of amendment. Also, specific terms and conditions may apply to specific content, products, materials, services or information contained on or available through this Website (the “Bookmate’s Content”) or transactions concluded through this Website. Such specific terms may be in addition to these Terms of Service or, where inconsistent with these Terms of Service, only to the extent the content or intent of such specific terms is inconsistent with these Terms of Service, such specific terms will supersede these Terms of Service.
Bookmate reserves the right to make changes or updates with respect to or in the Content of the Website or the format thereof at any time without notice. Bookmate reserves the right to terminate or restrict access to the Website or any portion thereof for any reason whatsoever at its sole discretion.

We are entitled to amend this Agreement and the Privacy Policy. You will be notified on such changes.

Bookmate is a virtual book club where you can upload, store, read electronic books and listen to audiobooks (the “Books”). All Books in Bookmate are protected by copyright law and cannot be downloaded and distributed outside the Service.

Books available on Bookmate may be used only via Bookmate.

Access to the Services may be granted only to physical entities. Please note that one (1) account shall be used only by one (1) physical entity. Thus, your account on the Bookmate Service is a personal not multiuser, and it’s prohibited by these Terms of Service to give access to your account to other persons. Your use of the Website and/or Services, including but not limited to storing cached content, is limited to three (3) devices. You may not transfer copies of cached content to any other device via any means.

Should You attempt to break these Terms of Service, Bookmate has the right to block or delete your personal account without any explanation.

Bookmate Service is only for physical entities. Your account shall not be used by other persons and no more than on three devices.

Some jurisdictions do not allow the exclusion of implied warranties or limitations, so the above limitations may not apply to You.

Laws of your country may differ from these Terms.

ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BOOKMATE HEREBY EXPRESSLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AS TO THE SERVICES OR THE CONTENT. BOOKMATE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS AS TO THE SECURITY OF THIS WEBSITE OR SERVICES. YOU ACKNOWLEDGE THAT ANY INFORMATION SENT MAY BE INTERCEPTED IN TRANSMISSION OR OTHERWISE. BOOKMATE DOES NOT WARRANT THAT THE WEBSITE OR THE SERVERS OR ELECTRONIC COMMUNICATIONS SENT BY BOOKMATE ARE FREE FROM VIRUSES OR ANY OTHER HARMFUL ELEMENTS. Except as agreed by Bookmate in writing, contractors, agents, dealers or distributors of Bookmate or any other third party shall not have a right to modify this limited warranty, nor to make any additional warranties.

We make no warranties regarding Bookmate. It’s your choice.

THE USE OF THE SERVICES OR THE DOWNLOADING OR OTHER USE OF THE WEBSITE IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, YOUR SITE, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM SUCH ACTIVITIES. BOOKMATE ASSUMES NO LIABILITY FOR ANY COMPUTER VIRUS OR OTHER SIMILAR SOFTWARE CODE THAT IS DOWNLOADED TO YOUR COMPUTER FROM THE WEBSITE OR IN CONNECTION WITH SERVICES. Internet is dangerous and we hold no liability for your damages.

The Website may contain references to specific Bookmate products and Services that may not be (readily) available in a particular country. Any such reference does not imply or warrant that any such products or services shall be available at any time in any particular country. Access to Bookmate and territorial restrictions depend on the country where you activated your subscription. If your residence has changed to another country, please appeal to our technical support.

Bookmate is not available in a few countries.

You understand and agree that by using the Website and Services and products contained therein, You may be exposed to Bookmate’s Content that You may find offensive, indecent or objectionable and that, in this respect, You use the Website, services and products at Your own risk.

Books may be explicit and obscene.

YOU HEREBY WARRANT THAT: (i) ALL INFORMATION PROVIDED BY YOU TO BOOKMATE IN CONNECTION WITH THE SERVICE IS TRUE AND ACCURATE; (ii) YOU HAVE FULL POWER AND AUTHORITY TO ENTER INTO THE TERMS OF SERVICE; (iii) YOU WILL SEEK ALL NECESSARY GOVERNMENTAL APPROVALS REQUIRED TO EFFECTUATE THE TERMS OF SERVICE; (iv) YOU SHALL PERFORM ALL OF YOUR OBLIGATIONS UNDER THE TERMS OF SERVICE IN ACCORDANCE WITH APPLICABLE LAWS; (v) YOU ARE OVER 18; AND (vi) YOUR MATERIALS, TEXT, GRAPHIC, AUDIOVISUAL, AND OTHER CONTENT (“YOUR CONTENT”) THAT IS UPLOADED BY YOU AND THAT IS NOT PROVIDED BY BOOKMATE, OR WEBSITE DO NOT (1) INFRINGE ANY INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY, (2) CONSTITUTE DEFAMATION, LIBEL OR OBSCENITY, (3) RESULT IN ANY CONSUMER FRAUD, PRODUCT LIABILITY, BREACH OF CONTRACT TO WHICH YOU ARE A PARTY OR CAUSE INJURY TO ANY THIRD PARTY, (4) PROMOTE VIOLENCE OR CONTAIN HATE SPEECH, (5) VIOLATE ANY APPLICABLE LAW, STATUTE, ORDINANCE, OR REGULATIONS, OR (6) CONTAIN ADULT CONTENT OR PROMOTE ILLEGAL ACTIVITIES.

The term of these Terms of Service (“Term”) shall begin when You start using the Services and shall continue in perpetuity unless otherwise terminated by Bookmate by written notice. Bookmate expressly reserves the right to change, suspend or discontinue all the Service or portion thereof, at any time, and may terminate Your use of the Service at any time. Without prejudice to any other rights, these Terms of Service will terminate automatically if You fail to comply with any of the limitations or other requirements described herein. Upon any termination or expiration of these Terms of Service, You must immediately cease using the Services including without limitation any use of Bookmate’s trademarks, trade names, copyrights and other intellectual property.
UPON TERMINATION OF THIS AGREEMENT YOU WILL NO LONGER BE AUTHORIZED TO USE THE SERVICES IN ANY WAY.

This agreement may expire.

In order to use the Services You may need to obtain and/or use certain third-party products, services and/or materials (“Third Party Materials”). Third Party Materials are (i) not licensed hereunder; (ii) not under Bookmate’s control or license; and (iii) subject to the applicable licenses and respective terms and conditions of such third parties which You need to enter into prior or subsequent to the installation and/or use of the Third Party Materials and prior to the effective use of the Services. Notwithstanding any provision to the contrary herein, nothing in these Terms of Service shall be construed as to grant You any rights or licenses with regard to such Third Party Materials or to entitle You to use such Third Party Materials.

Some applications may be required to make Bookmate run on your device.

Copyright, trademark and all other proprietary rights in the Services and/or Bookmate’s Content (including but not limited to software, services, audio, video and text) rest with Bookmate and/or its licensors. Unless otherwise specifically provided herein or authorized by Bookmate in writing, all rights in the Services and/or Bookmate’s Content not expressly granted herein are reserved. You agree not to copy, republish, frame, make available for download, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Services and/or Bookmate’s Content. All copyright and other proprietary notices shall be retained on all reproductions.

You are not given any unmentioned rights for our content.

Bookmate hereby disclaims any rights to trademarks, service marks, trade names, logos, copyright, patents, domain names or other intellectual property interests of third parties. All intellectual property interests of third parties referenced herein, including without limitation Third Party Material are the properties of their respective owners. Bookmate disclaims any proprietary interests in the intellectual property rights other than their own.

We don’t claim any rights for third-party content either.

Bookmate shall conspicuously display graphics that indicate that the Service is provided by Bookmate under the guidelines that may be communicated to You from time to time by Bookmate. Such attribution must provide a direct link to the Website or such other address as Bookmate may designate from time to time.

You may from time to time provide suggestions, comments or other feedback to Bookmate with respect to any product, material, software or information provided by Bookmate (hereinafter “Feedback”). You agree that all Feedback is and shall be entirely voluntary and shall not, absent separate agreement, create any confidentiality obligation for Bookmate. However, Bookmate shall not disclose the source of any feedback without the providing party’s consent. Bookmate shall be free to disclose and use such Feedback as it sees fit, entirely without obligation of any kind to You. The foregoing shall not, however, affect either party’s obligations hereunder with respect to the information protected pursuant to any Bookmate’s privacy policies posted on the Website.

  1. You have the opportunity to leave messages on your behalf (impressions, notes to quotes, publications on the bookshelves, comments). By posting this information, including your personal data, you acknowledge and agree that this information may be available to other Internet users, taking into account the peculiarities of the architecture and functionality of the Service.

    You may leave comments, impressions and make quotes in the Service.

  1. You have the opportunity to create public bookshelves on the Service - public pages for the purpose of informing other users about the information posted on these public pages, organizing discussions, exchanging opinions, reviews, etc. (bookshelf content).

    1. In the process of informing and discussing, users are obliged to comply with applicable law, as well as post only such information that complies with this Agreement, as well as recognized ethical standards and principles of morality, including those related to those in the opinion of Bookmate.
    2. The bookshelf, including its description, banner, messages and discussions contained on it, must not contain content in whole or in parts without the prior permission of the respective copyright holder, third-party commercial and political advertising, as well as information provided for in clause 4 of this section below. The user administering the bookshelf is obliged to independently monitor and suppress the placement of information that does not comply with the Agreement, and, if necessary, inform Bookmate support service about the corresponding violations.
    3. Native integrations are allowed on the bookshelf. Native integration for the purposes of this Agreement is the organic implementation of the object of promotion of a third party (goods / services / works, means of individualization of a legal entity and (or) goods / services / works, manufacturer or seller of goods / services / works, results of intellectual activity or an event of a third party (including a sports competition, concert, competition, festival)) without an obvious emphasis on it in the content of the bookshelf, which has a theme and style and has an independent semantic value. Integrations that do not comply with this Agreement shall be recognized as third-party advertising.

      When placing native integrations, the user must comply with the following requirements:

      1. the implementation of the object of promotion is allowed provided that the overall style of the bookshelf remains unchanged, and the integration is not dominant in the content of the bookshelf;
      2. native integrations of promotion objects that violate the Agreement are not allowed;
      3. the implementations of third-party activities shall not be recognized as native integrations if among the mandatory conditions for participation in them there are instructions for the following actions: subscribe to the community; make a purchase; put "Like"; share the recording.

      The content of native integrations must meet the following requirements:

      1. native integrations should not be obviously advertising in nature, i.e. get the main attention within the content of the bookshelf;
      2. information material with native integration should fully correspond to the theme of the bookshelf and, have an independent semantic value, harmoniously fitting into the style;
      3. native integrations may contain hyperlinks to third-party resources for additional information, however, following those should not be a prerequisite for obtaining basic information.

    You may create bookshelves under the terms of this Agreement.

  1. In case of discovery of the fact of violation of the legal rights and interests of third parties, the current legislation in accordance with this Agreement, as well as the provisions of the Agreement, Bookmate has the right to take the following measures at its option, both separately and, if necessary, jointly, depending on the nature and the frequency of the corresponding violations:

    1. remove Content and other information from the bookshelf page;
    2. block the access of the User administering the bookshelf to the bookshelf;
    3. exclude the bookshelf from the search engine and / or block the bookshelf;
    4. prohibit the publication of any links and / or clicking on them and / or placement of information materials (audio and video materials, documents) on the bookshelf for any period;
    5. exclude bookshelf from the recommendation list and restrict the visibility of the bookshelf entries;
    6. delete comments, reviews and impressions of users that, in the opinion of Bookmate, violate and / or may violate the legal rights (honor, business reputation, etc.) of Bookmate, copyright holders and third parties.

    If you violate the provisions of the Agreement and the requirements of Bookmate, Bookmate reserves the right to take measures to prevent and exclude violation of rights of Bookmate, copyright holders and third parties.

  1. The User has no right to upload, store, publish, distribute and provide access or otherwise use any information on the Service that:

    1. contains threats, calls for violence, including hidden ones, approval and encouragement of violent actions, discredits, offends, denigrates honor and dignity or business reputation, or violates the privacy of other Users or third parties;
    2. violates the rights of minors;
    3. is vulgar or obscene, contains pornographic images and texts or scenes of a sexual nature involving minors;
    4. contains scenes of inhuman treatment of animals;
    5. contains a description of the means and methods of suicide, any incitement to commit it;
    6. promotes and / or contributes to the incitement of racial, religious, ethnic hatred or enmity, based on gender, orientation, as well as other individual characteristics and characteristics of a person (including issues of his health);
    7. contains extremist materials;
    8. promotes criminal activity or contains advice, instructions or guidelines for the commission of criminal acts;
    9. contains information of limited access, including, but not limited to, state and commercial secrets, information about the private life of third parties;
    10. contains advertisements or describes the attractiveness of the use of drugs, including "digital drugs" (sound files that affect the human brain through binaural beats), information about the distribution of drugs, recipes for their manufacture and advice on use;
    11. can potentially lead to the commission of illegal actions by misleading Users or abuse of their trust;
    12. and also violates other rights and interests of citizens and legal entities or the requirements of current legislation in accordance with the Agreement.

    You have no right to upload, store, publish, distribute and provide access or otherwise use any illegal information on the Service.

If You believe that Your work has been copied in a way that constitutes copyright infringement, please provide Bookmate’s Copyright Agent the written information specified below. Please note that this procedure is exclusively for notifying Bookmate and its affiliates and its licensors that Your copyrighted material has been infringed.

  • An electronic or physical signature of the copyright owner or the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that You claim has been infringed upon;
  • A description of where the material that You claim is infringing is located on the Website;
  • Your address, telephone number, and e-mail address;
  • A statement by You that You have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner's behalf.

You hereby agree to indemnify and hold harmless Bookmate, its affiliates, officers, directors, agents, and employees, from any expense, loss, claim, damage, fine, penalty or liability, including reasonable fees for attorneys and other professionals, payable under any judgment, verdict, court order or settlement, to the extent resulting from any claim, demand, action, suit, arbitration, or other proceeding initiated by any third party, including the assessment, claim or demand by a governmental agency or entity, arising out of Your breach of these Terms of Service and/or Your Content, including without limitation infringement by Your Content of any third-party intellectual property and/or proprietary right, including, but not limited to, patent, trademark, copyright, trade secret, publicity and/or privacy.

We are not liable for your actions.

These Terms of Service shall be governed by and construed in accordance with the laws of the Ireland without regard to its principles of conflict of laws. You agree to the exclusive jurisdiction of the courts of Ireland for any claim or cause of action arising out of, or relating to or in connection with these Terms of Service or this Website, provided that such exclusivity does not apply to legal actions initiated or brought by Bookmate.

Bookmate does not bear any responsibility nor assumes any risks if by any reason a Service or the Website breach national law of any state. Those who access this Website or use the Services do so on their own initiative and are responsible for compliance with their national laws.

We are subject to specific jurisdiction, please comply with your local laws.

Bookmate’s products may be subject to U.S. export and re-export control laws and regulations and/or similar laws applicable in other jurisdictions, including the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations (“ITAR”) maintained by the Department of State. Bookmate shall comply with the copyright acts and we always promptly remove the illegal content, upon receipt of the corresponding notice. In case you consider that the work placed by you on the Bookmate has been removed by mistake you may file a counter-notice which should contain the following:

  • User’s name, address, phone number, physical and electronic signature;
  • Name of the work, name of the author and other identification details of the work and its location on the Bookmate before it is removed or blocked (URL in Bookmate);
  • Statement under the penalty of perjury, that you have a bona fide belief that the work has been removed or blocked by mistake or due to false identification;

In case of counter-notice filled in in accordance with the requirements stated hereinabove, the Bookmate shall promptly resend your counter-notice to the person, who demanded to remove the work.
